Terms of Service

Please review the terms governing your use of the Fluxlix platform and services.

1. Agreement to Terms

By installing, accessing, or using Fluxlix software ("the Software"), you ("you", "Customer") agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

If you do not agree to these Terms, you may not install, access, or use the Software.

2. License Grant

Subject to your compliance with these Terms and payment of applicable fees, Fluxlix, Inc. ("Fluxlix", "we", "us") grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software during the license term.

  • The license is tied to a cryptographically signed Ed25519 license token that encodes your tier, resource limits, and expiration date.
  • The license is valid for the number of users, organizations, projects, and other resources specified in your license token.
  • You may install the Software on infrastructure that you own or control.
  • The license is granted solely for your internal business purposes and may not be used to provide services to third parties unless explicitly authorized.

3. License Tiers and Restrictions

The Software is available under the following license tiers, each with specific resource limits and terms:

Demo (Free, 14-day evaluation)

  • Limited to 3 users, 1 organization, 2 projects, and 2 concurrent agents.
  • For evaluation purposes only — not permitted for production use.
  • No grace period upon expiration.

Team ($3,490/year)

  • Up to 10 users, 3 organizations, 10 projects, 8 concurrent agents, and 5 repositories.
  • 14-day grace period upon expiration.

Business ($7,990/year)

  • Up to 50 users, 10 organizations, unlimited projects, 20 concurrent agents, and 15 repositories.
  • Includes SSO/SAML authentication support.
  • 30-day grace period upon expiration.

Enterprise (Custom pricing)

  • Unlimited resources, white-label options, custom SLA, and air-gap deployment support.
  • 60-day grace period upon expiration.

4. Prohibited Activities

You shall not:

  • Modify, tamper with, reverse-engineer, decompile, disassemble, or attempt to circumvent the license token or license validation system.
  • Exceed the resource limits encoded in your license token.
  • Share, transfer, sublicense, or distribute your license token to any third party.
  • Remove, alter, or obscure any proprietary notices, labels, or markings on the Software.
  • Use the Software to develop, market, or distribute a product or service that competes with the Software.

5. Self-Hosted Deployment Obligations

As a self-hosted solution, you are solely responsible for:

  • Providing and maintaining server infrastructure, including compute, storage, and networking resources.
  • Data backup, disaster recovery, and business continuity planning.
  • Network security, firewall configuration, and access controls for the deployment environment.
  • Operating system updates, dependency management, and security patching.
  • Compliance with all applicable data protection regulations (including GDPR, CCPA, and others) for data stored on your infrastructure.
  • All costs associated with third-party AI services, including API keys and usage fees.

6. AI Provider Terms

The Software integrates with third-party AI providers (currently Anthropic Claude) via API keys that you supply. You acknowledge and agree that:

  • You must independently agree to and comply with the terms of service, acceptable use policies, and privacy policies of any AI provider you use with the Software.
  • Fluxlix is not responsible for the availability, accuracy, reliability, or output of third-party AI services.
  • AI API costs are your sole responsibility and are entirely separate from Fluxlix license fees.
  • Fluxlix does not access, store, or process your AI API keys or AI interaction data.

7. Telemetry and License Compliance

  • Demo, Team, and Business licenses require periodic license verification via telemetry to our license server.
  • Telemetry transmits only license compliance data: installation ID, license ID, software version, and resource counts. It never transmits source code, work items, AI interactions, or any customer content.
  • Intentionally blocking required telemetry constitutes a material breach of these Terms and may result in license deactivation.
  • Enterprise tier customers may disable telemetry for air-gap deployments. Telemetry for Enterprise licenses is opt-in.

8. Renewal, Expiration, and Grace Periods

  • Licenses are issued for annual terms unless otherwise specified in a separate written agreement.
  • Upon expiration, the Software enters read-only mode during the applicable grace period (Demo: none; Team: 14 days; Business: 30 days; Enterprise: 60 days).
  • During the grace period, existing data remains accessible, but new work items, workflow runs, and agent executions are disabled.
  • After the grace period expires, a valid license token is required to resume full operation of the Software.
  • License renewal is available at the then-current pricing published on our website or as specified in your agreement.

9. Demo License Terms

  • Demo licenses are limited to 14 days from the date of activation.
  • Demo licenses are intended solely for evaluation purposes and may not be used in production environments.
  • Demo licenses include the limited resources specified in the Demo tier definition above.
  • Fluxlix reserves the right to limit the number of demo licenses issued per organization.

10. Intellectual Property

Fluxlix retains all right, title, and interest in and to the Software, including all intellectual property rights therein. Nothing in these Terms transfers any ownership of intellectual property from one party to the other.

Your source code, work items, project data, and all other content created or stored using the Software remain your sole and exclusive property. Fluxlix claims no ownership or license rights over your content.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FLUXLIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL FLUXLIX'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SOFTWARE EXCEED THE TOTAL LICENSE FEES ACTUALLY PAID BY YOU TO FLUXLIX IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. FLUXLIX EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FLUXLIX DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

13. Termination

  • Either party may terminate the license agreement with thirty (30) days' prior written notice to the other party.
  • Fluxlix may terminate the license immediately upon written notice if you materially breach any provision of these Terms.
  • Upon termination, you must immediately cease all use of the Software and destroy all copies of the license token in your possession.
  • Sections relating to intellectual property, limitation of liability, warranty disclaimer, and governing law shall survive termination.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and you hereby consent to the personal jurisdiction and venue of such courts.
